Welcome to ComplyCal. These Terms of Service govern your use of our compliance calendar service. By accessing or using ComplyCal, you agree to be bound by these terms.

By creating an account or using ComplyCal, you confirm that you:

• Have the legal capacity to enter into a binding agreement
• Will comply with all applicable laws and regulations

• Agree to receive service-related communications from us

If you are using ComplyCal on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Account Termination

• Your account is inactive for more than 12 months
• We suspect fraudulent, abusive, or illegal activity

You agree not to use ComplyCal to:

• Violate any laws, regulations, or third-party rights
• Transmit harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service or servers
• Use automated systems (bots, scrapers) without our written permission
• Reverse engineer, decompile, or disassemble any part of the service
• Resell, lease, or provide the service to third parties without authorization
• Remove or alter any proprietary notices or labels
• Use the service for any illegal or unauthorized purpose
• Harass, abuse, or harm other users

ComplyCal provides a compliance calendar and task management service. We strive to maintain high availability but:

• We do not guarantee uninterrupted or error-free service
• We may modify, suspend, or discontinue features at any time
• Scheduled maintenance may require temporary service interruptions
• We are not responsible for delays or failures due to circumstances beyond our control
• Service features may vary depending on your subscription plan

We will make reasonable efforts to notify you in advance of any significant changes or planned downtime.

Our Rights

ComplyCal and all related content, features, and functionality are owned by ComplyCal Inc. and are protected by copyright, trademark, patent, and other intellectual property laws. This includes:

• Software code, design, and architecture
• Logos, trademarks, and brand elements
• User interface and user experience designs
• Documentation and training materials
• Algorithms and proprietary methods

Your Rights

You retain all rights to the content you create and upload to ComplyCal. By using our service, you grant us a limited license to:

• Store, process, and display your content to provide the service
• Create backups and ensure data redundancy
• Use anonymized, aggregated data for analytics and improvements
• Share content with team members as directed by you

6. Payment Terms and Billing

Subscription Plans

ComplyCal offers various subscription plans with different features and pricing. By subscribing, you agree to:

• Pay all fees associated with your chosen plan
• Provide accurate and current billing information
• Authorize us to charge your payment method automatically
• Pay any applicable taxes

Billing and Renewals

• Subscriptions automatically renew at the end of each billing period
• You will be charged on the renewal date unless you cancel beforehand
• We may change pricing with 30 days' notice
• Price changes do not affect your current billing period
• Failed payments may result in service suspension

Refunds

We offer a 7-daymoney-back guarantee for new customers. After 14 days, payments are non-refundable except as required by law or at our sole discretion.

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free service
• Results obtained from using the service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLYCAL SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions of third parties or content posted by users
• Unauthorized access to your account

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless ComplyCal, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms of Service
• Your violation of any law or third-party rights
• Your use or misuse of the service
• Content you upload or share through the service
• Your negligence or willful misconduct

Informal Resolution

Before filing a formal claim, you agree to contact us at legal@complycal.com to attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Your Jurisdiction]. You waive your right to a jury trial.

Governing Law
